Jean-Philippe Jacob has been a partner of Moisand, Boutin & Associés since May 2005.
After two years as Company Secretary for the "DEFI FRANCAIS, FOR THE AMERICAS' CUP where he was in charge of drawing up contracts such as sponsoring or licence contracts, and the creation and follow-up of structures, insurance policies and employment contracts, Jean-Philippe started his career in the law firm of Jobard Chemla & Partners. He practiced for five years in all fields of law and in particular corporate law, M&A, commercial contracts and commercial litigation, for a clientele mainly composed of medium-sized and international corporate clients.
In February 2001, he joined the independent law firm CMC where he was involved in a great number of transactions in corporate and business law in national and international contexts for listed and non-listed companies. He also has an expertise in corporate finance in particular with respect to capital risk transactions or the public offering of securities listed on regulated markets. He intervened as such more specifically in the following sectors: Services, IT service companies and the Media and Communication Industries.
Since joining MBA in May 2005, he has been in charge of the Corporate Law Department together with Jean-Pierre Langlais. He assists the firm's clients in all types of corporate law transactions (creation of businesses, acquisitions, corporate finance, shareholders' agreements, mergers, joint ventures, restructuring) for French and foreign listed or non-listed clients.
Recent Assignments
- Acquisitions and disposals of companies. Negotiating and drafting of contracts for acquisitions, asset and liability guarantees and financing of transactions.
- Restructuring and complete reorganisation involving spin-off and merger transactions for a major operator in the call center activity.
- Setting-up and implementation of a fund-raising transaction (5m€) involving the issuance of complex securities and the negotiation of a shareholders' agreement.
- Implementation and completion of a fund raising (1M to 30 M) involving the issuance of complex securities and shareholder agreement negotiation.
- Advice on corporate governance and structuring of the status of the executives.
